General Terms and Conditions (GTC) for Theo&Frida GbR

1 Scope, Definitions

These General Terms and Conditions apply to all orders placed by customers (hereinafter referred to as "customer") through the online shop of Theo&Frida, operated by Sarah Quack and Thomas Quack, Gink 4A, 40699 Erkrath. A customer is considered a consumer insofar as the ordered deliveries and services cannot be attributed to their commercial or independent professional activities. An entrepreneur is any natural or legal person or a partnership with legal capacity who, when concluding a contract, acts in the exercise of their commercial or independent professional activity.

2 Conclusion of Contract

Customers can select products, especially clothing and accessories, in the Theo&Frida online shop and add them to the "shopping cart." By placing an order, the customer makes a binding request to purchase the goods in the shopping cart. The customer can change and view the data at any time before sending the order. However, the order can only be submitted and transmitted if the customer accepts these contract conditions by clicking on the button "accept GTC" and thus includes them in their request. Theo&Frida confirms the receipt of the order by an automatic email. This order confirmation merely documents the receipt of the order and does not constitute acceptance of the request. The contract is only concluded through the acceptance declaration by Theo&Frida, which is sent by a separate email (order confirmation). It is explicitly pointed out that accessories depicted for an appealing presentation of the products in the pictures, such as felt balloons, socks, mini cameras, sunglasses, etc., are not for sale decorative items and are not part of the offered articles.

3 Delivery, Availability of Goods

If no copies of the product selected by the customer are available at the time of the order, Theo&Frida will immediately inform the customer. If the product is permanently unavailable, Theo&Frida reserves the right not to accept the offer. In this case, a contract does not come into effect. If the product ordered by the customer is temporarily unavailable, Theo&Frida will also immediately inform the customer. In case of a delivery delay of more than four weeks, the customer has the right to withdraw from the contract. Similarly, Theo&Frida is entitled to withdraw from the contract. In such cases, any payments already made by the customer will be refunded immediately.

4 Retention of Title

Until full payment, the delivered goods remain the property of Theo&Frida.

5 Prices and Shipping Costs

All prices stated on the Theo&Frida website include the applicable statutory sales tax. The relevant shipping costs are displayed to the customer in the order form and are to be borne by the customer, unless they exercise their right of withdrawal. The goods are shipped by postal service. Theo&Frida bears the shipping risk if the customer is a consumer. In the event of a withdrawal, the customer bears the regular costs of the return if the delivered goods correspond to the ordered ones.

6 Payment Conditions

After receiving the confirmation email from Theo&Frida, the customer is obliged to transfer the purchase price to the account of Theo&Frida. The ordered goods will be delivered to the customer by post only after a positive payment receipt.

7 Warranty, Guarantee

Theo&Frida is liable for material defects according to the applicable legal provisions, especially §§ 434 ff. BGB (German Civil Code). The warranty period for goods delivered by the provider is 12 months for consumers, 6 months for entrepreneurs.

8 Right of Withdrawal

The customer has the right to withdraw from the contract within fourteen days without giving any reason. The exact modalities and conditions of withdrawal are listed in the separate right of withdrawal instructions on the Theo&Frida website under "Return Policy" and in Annex 1.

Data Protection (GDPR): In processing the customer's personal data, Theo&Frida adheres to the applicable data protection regulations, especially the provisions of the General Data Protection Regulation (GDPR). More information on the processing of personal data can be found in the privacy policy on the Theo&Frida website.

9 Final Provisions

German law applies to the exclusion of the UN Sales Convention. Should any provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provisions, the statutory regulations apply. Changes or amendments to these GTC require written form. This also applies to the waiver of this written form requirement itself.
